Please read these Terms of Service ("Terms") carefully before using the Unarvu AI website or any AI-powered services operated by Cre8IOT Sdn. Bhd. (SSM No: 201701015657) ("we", "our", "us", or "Unarvu AI").

1. Acceptance of Terms

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or services. These Terms apply to all visitors, users, partners, and customers.

2. Services Description

Unarvu AI provides domain-specific artificial intelligence solutions for industrial, commercial, and municipal operations across 8 verticals including energy, industrial plant management, smart city edge computing, healthcare, asset management, transport, and water utilities. Our services include:

• AI model development, training, and deployment
• Operational data analytics and anomaly detection
• Edge AI hardware and software integration
• Consulting and technical advisory services

3. Partnership Models

We offer the following engagement models, subject to separate written agreements:

• IP Transfer: Full transfer of trained model weights, documentation, and deployment scripts to the partner
• Team Training: Knowledge transfer and hands-on training for partner engineering teams
• White-Label: Rebranded AI solution deployed under partner identity
• Co-Managed: Joint operation and maintenance of AI systems
• SaaS Licensing: Subscription-based access to hosted AI platform services

Specific terms for each model are governed by individual Master Service Agreements and Statements of Work.

4. Intellectual Property

Unarvu AI retains ownership of base AI models, core algorithms, training methodologies, platform software, and pre-existing intellectual property developed prior to or independent of any customer engagement.

Partners retain ownership of their operational data, custom configurations, and any partner-specific model derivatives created from their proprietary data.

Open-source components used in our solutions are subject to their respective open-source licenses (e.g., Apache 2.0, MIT, GPL as applicable). License terms for such components are available upon request.

5. Use of Website

You agree to use our website and services only for lawful purposes. You must not:

• Use our services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or data
• Interfere with the proper working of our website or services
• Transmit any malicious code, viruses, or harmful materials
• Scrape, crawl, or systematically extract data from our website without written consent
• Reverse engineer, decompile, or disassemble any aspect of our AI systems

6. AI-Generated Insights Disclaimer

Important: All AI-generated insights, predictions, recommendations, and outputs provided by Unarvu AI are for decision-support purposes only.

• AI outputs do not replace professional judgment, engineering review, medical diagnosis, or regulatory consultation
• Users must independently verify AI recommendations before implementation
• Unarvu AI is not liable for operational, financial, or safety decisions made solely based on AI outputs without human review
• Model accuracy and reliability vary by deployment conditions, data quality, and operational environment

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection, processing, and storage of data as described therein.

8. Limitation of Liability

To the maximum extent permitted by law, Unarvu AI and Cre8IOT Sdn. Bhd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services.

Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you to us in the 12 months preceding the claim, or RM 5,000, whichever is lower.

9. Indemnification

You agree to indemnify and hold harmless Unarvu AI, Cre8IOT Sdn. Bhd., and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

We may suspend or terminate your access to our services at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, all provisions that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these Terms shall be resolved through mediation at the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. If mediation fails, the dispute shall be submitted to binding arbitration under the AIAC Rules.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the revised Terms.
